Estimates, Proposals & Contracts

Any cost estimates provided are subject to change based on final scope, site conditions, and product availability.

A signed proposal or contract is required before scheduling work.

Additional work outside the original agreement may require a change order and additional charges.
Payments

Payment terms will be specified in your service agreement.

We reserve the right to require deposits before work begins and final payment upon completion.

Late or unpaid balances may be subject to interest, collection costs, and/or suspension of services.
Scheduling & Delays

We make every effort to adhere to agreed-upon schedules; however, delays may occur due to weather, supply issues, labor availability, property access, or unforeseen conditions.

We are not liable for delays outside our reasonable control.
Warranties & Liabilities

We stand by the quality of our work and may provide limited warranties on labor. Equipment and parts are covered under the manufacturer’s warranty when applicable.

Except where prohibited by law, our liability is limited to the direct cost of the service provided and does not cover indirect, incidental, or consequential damages.
Client Responsibilities
Clients are responsible for:

Granting site access for inspections and installations.

Ensuring necessary permits, authorizations, and property conditions are in place unless otherwise agreed upon.
Third Party Products & Services
We may recommend certain equipment, software, or third-party services. We are not responsible for the performance of products provided by manufacturers or services controlled by independent third parties.
Termination
We reserve the right to refuse or terminate services if a client violates these Terms & Conditions, engages in unlawful practices, or fails to meet payment obligations.
Limitation of Liability
To the fullest extent permitted by law, Mersey Capital Ltd. shall not be held liable for special, indirect, or consequential damages arising from the use of our website or services.
Governing Law
These Terms & Conditions are governed by the laws of the province of Ontario, without regard to its conflict of law principles. Any disputes shall be handled in the courts located in Toronto, ON.
